Job Description

The position focuses on capital markets and public company advisory work, supporting complex transactions from initial planning through completion.

Key Responsibilities

• Manage and support a broad range of capital markets matters, including equity and debt offerings
• Draft and review registration statements, prospectuses, offering memoranda, and ongoing disclosure
• Advise public companies on securities law compliance, corporate governance, and periodic reporting obligations
• Coordinate with investment banks, auditors, and multidisciplinary internal teams throughout transaction lifecycles
• Conduct legal research on securities regulations, listing requirements, and transactional issues
• Assist with the structuring and execution of IPOs, follow-on offerings, private placements, and related capital-raising activities

Qualifications

• J.D. from an accredited law school
• Active bar membership in the relevant U.S. jurisdiction
• At least 3 years of experience in capital markets and/or public company representation
• Strong working knowledge of the Securities Act, Exchange Act, and SEC reporting frameworks
• Excellent drafting, analytical, and communication skills
• Ability to manage multiple workstreams and operate effectively in a hybrid environment
